Subject:Revised Contract for Advanced Traffic Management System, Services & Support

Staff Recommendation:

Adopt a Resolution of the City Council of the City of Rocklin approving a revised contract for Advanced Traffic Management System, Services & Support and authorizing the City Manager to execute an agreement with Q-Free America, Inc.
BACKGROUND:

On July 14, 2020, City Council awarded the contract for Advanced Traffic Management System, Services & Support to Q-Free America, Inc. and authorized the City manager to execute the agreement (Reso. 2020-129).  Subsequently, the Contractor requested several modifications to the contract.  The changes have been incorporated into the revised contract which necessitates Council approval to authorize the City Manager to execute it. In addition to minor corrections and format modifications the following was revised:

 

  • Scope of Services was modified to include the Contractor's proposal.
  • Compensation, Section B was removed as it was not necessary for this contract, other items were moved up and there is no Section F.
  • The term was extended to 3 years from the date of final acceptance to coincide with warranties instead of ending on a specific date.
  • Property of the city - an exclusions clause was added due to the proprietary nature of the technical property to protect the intellectual property of the Contractor as is standard with this type of software/work product.
  • Limitation of the liability clause was added to limit contractor exposure to not exceed total amount paid by the City to the contractor.
  • Exhibit A, Scope of Services of the Contract agreement - The first page was replaced in its entirety.  The format was changed to better match the scope from the original proposal.  Deliveries have not changed.
  • Exhibit B Schedule of Performance - the dates were updated to reflect the current timeline.
  • Exhibit C Fee Schedule - Payment schedule chart was added to clarify payment dates and amounts. The amount of the Contract has not changed.
Fiscal Impact:
There is no additional fiscal impact with regards to this project.  The original project cost has been identified and is included in the original budget approved by Council.
